ROC Shifting refers to the process of changing the registered office address of a company as recorded with the Registrar of Companies (ROC) under the Ministry of Corporate Affairs. The registered office is the official legal address where all formal communications and notices are received.
There are four types: (1) Within same city/town — requires only Board Resolution and Form INC-22; (2) Within same state but different city — requires Special Resolution and Forms MGT-14 and INC-22; (3) Different ROC jurisdiction within same state — requires Regional Director approval; (4) Interstate relocation — requires Central Government approval and alteration of MOA.
Timelines vary by type: Local shifting take approximately 15 days, same state shifts take 30-45 days, different ROC jurisdiction shifts take 60-90 days, and interstate relocations can take 90-180 days depending on Central Government processing and any objections raised.
Under the Companies Act, 2013, failure to comply with the registered office shifting procedures can attract a penalty of Rs. 1,000 for every day the default continues, subject to a maximum cap of Rs. 1,00,000 (Rs. 1 Lakh).
